These Terms of Service are an agreement between you and Richly Labs Inc. ("Richly Labs," "we," "us"), a federally-incorporated Canadian company based in Ontario. They cover your use of the Nutriterm website, the free TUI, and the Premium cloud service. By using Nutriterm you agree to these terms. If you don't, please don't use the service.
Nutriterm is a nutrition and calorie tracking tool. You can use it to log what you eat, track your weight, and view nutritional breakdowns. Nutriterm is informational — it is not medical advice. You must be at least 16 years old to use Nutriterm. By using the service you represent that you meet that age requirement. Nutriterm is not intended for anyone with a history of disordered eating or any condition that makes calorie counting harmful.
The Nutriterm terminal application is open source and distributed under the Apache License 2.0. Your use of the TUI itself is governed by that license. See /eula for details. You can run the TUI on as many of your own devices as you want.
Accounts are required to use the Premium cloud sync service and the web app. You are responsible for keeping your credentials safe and for activity that happens under your account.
Premium is currently $3/month or $15/year (alpha pricing — subject to increase). Premium turns on cloud sync across your devices and enables the web and mobile clients. Billing runs through Stripe on a recurring basis until you cancel. You can cancel at any time from your account page; cancellation takes effect at the end of your current billing period.
If you're unhappy with Premium within the first 14 days of a new subscription, we refund the unused portion of your current billing period. After the 14-day window, cancel anytime to stop future charges — past charges aren't refunded. Full details and how to request: /refunds.
You own the diary entries, weight records, custom foods, nutrient targets, and notes you create in Nutriterm. We don't claim any rights to them. We need a limited license to store and display your content on the devices you sign into — that's the only reason we touch it. You are responsible for the content you upload, including making sure you have the right to upload it.
You agree to use Nutriterm in line with the Acceptable Use Policy. That page spells out what is and isn't allowed on the cloud service.
You can close your account at any time. We may suspend or terminate accounts that violate these terms, the Acceptable Use Policy, or the law. Where it's safe and practical, we will warn you first. When your account is terminated, cloud sync stops and your synced data is deleted after the retention window described in the Privacy Policy. Your local TUI data is unaffected — it stays on your machine.
Nutriterm is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied. We do our best to keep it running and the data accurate, but the food database comes from third-party sources and occasionally has mistakes. Don't make medical decisions based on the numbers here.
To the fullest extent permitted by applicable law, Richly Labs Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of Nutriterm. Our total aggregate liability for any claim related to Nutriterm is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) CAD $100. Nothing in these terms limits liability that cannot be limited under applicable law (including statutory consumer rights).
You agree to indemnify and hold Richly Labs Inc. harmless from any claims arising out of your misuse of Nutriterm, your violation of these terms, or your violation of any third-party rights.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of these terms, subject to any mandatory consumer-protection rules that would apply in your place of residence.
Nutriterm™ is a trademark of Richly Labs Inc. The Apache 2.0 license on the TUI grants rights to the code; it does not grant permission to use the Nutriterm name or logo in ways that could suggest endorsement or affiliation with Richly Labs Inc.
We may update these terms occasionally. If the changes are material, we'll email active subscribers and update the date at the top of this page. Continued use after an update means you accept the new version.
